Manyworlds Group Inc., DBA Manyworlds Corporation (hereinafter “Manyworlds,” “we,” or<\/p>\n\n\n\n

“us”) welcomes you. This page explains the terms by which you may use our mobile<\/p>\n\n\n\n

application (the “App”). Manyworlds is a technology company and does not itself provide<\/p>\n\n\n\n

banking, securities brokerage, or investment advisory services. Through the App, Manyworlds<\/p>\n\n\n\n

provides technology infrastructure that enables you to access such services offered by third-<\/p>\n\n\n\n

party Financial Service Providers, including banking institutions, licensed securities broker-<\/p>\n\n\n\n

dealers, and registered investment advisors (collectively, the App and the technology-enabled<\/p>\n\n\n\n

access to such services are referenced as “Services”).<\/p>\n\n\n\n

By creating an account that will facilitate your use of the Services (an “Account”), or by<\/p>\n\n\n\n

otherwise manifesting your assent to these Terms of Use, you signify that you have read,<\/p>\n\n\n\n

understood, and agree to be bound by these Terms of Use and the Service Schedule(s) for any<\/p>\n\n\n\n

Service(s) that you have accessed through Manyworlds (collectively, the “Agreement”). By<\/p>\n\n\n\n

applying for any Service facilitated through our Financial Service Providers, you signify that you<\/p>\n\n\n\n

have read, understood, and agree to be bound by the applicable agreements of such Financial<\/p>\n\n\n\n

Service Providers for your Account. For the purposes of this Agreement, “Financial Service<\/p>\n\n\n\n

Providers” means, collectively: (i) banking institutions that provide banking services, including<\/p>\n\n\n\n

demand deposit accounts (“Deposit Account”), savings accounts (“Savings Account”), and\/or<\/p>\n\n\n\n

charge and debit cards (“Cards”) (each, a “Banking Provider”); (ii) licensed securities broker-<\/p>\n\n\n\n

dealers that provide securities brokerage services, including the purchase, sale, and custody of<\/p>\n\n\n\n

securities and related investment products (each, a “Brokerage Provider”); and (iii) registered<\/p>\n\n\n\n

investment advisors that provide investment advisory services, including portfolio management<\/p>\n\n\n\n

and financial planning (each, an “Advisory Provider”), in each case depending on which<\/p>\n\n\n\n

Services you access through Manyworlds (the accounts and arrangements maintained with<\/p>\n\n\n\n

Financial Service Providers are collectively referred to as “Provider Accounts”). For the<\/p>\n\n\n\n

avoidance of doubt, Manyworlds does not provide banking, securities brokerage, or<\/p>\n\n\n\n

investment advisory services itself; Manyworlds solely provides the technology platform<\/p>\n\n\n\n

through which you may obtain pass-through access to such services from Financial Service<\/p>\n\n\n\n

Providers.<\/p>\n\n\n\n

By accepting these Terms of Use, you acknowledge and agree that you are a direct<\/p>\n\n\n\n

counterparty and\/or customer of Manyworlds Group Inc., DBA Manyworlds Corporation for the<\/p>\n\n\n\n

purpose of accessing and using Manyworlds’ technology, platform, and Services. In this<\/p>\n\n\n\n

capacity, Manyworlds has the authority and the right to conduct Know Your Customer (“KYC”)<\/p>\n\n\n\n

verification procedures, including the collection, processing, and retention of identity<\/p>\n\n\n\n

documentation and related personal information, as required by applicable law or as deemed<\/p>\n\n\n\n

necessary by Manyworlds in its sole discretion for the purposes of regulatory compliance,<\/p>\n\n\n\n

fraud prevention, and risk management. You further acknowledge and consent that<\/p>\n\n\n\n

Manyworlds may collect, store, and hold your customer data and personal information for the<\/p>\n\n\n\n

duration of your use of the Services and for a period of five (5) years following the termination<\/p>\n\n\n\n

or cessation of your use of the Services, or as otherwise required by applicable law, whichever<\/p>\n\n\n\n

period is longer. This retention right applies regardless of the reason for termination and<\/p>\n\n\n\n

survives the expiration or termination of this Agreement.<\/p>\n\n\n\n

Manyworlds reserves the right to make modifications to these terms and will provide notice of<\/p>\n\n\n\n

these changes by posting an updated version to our legal page. “You” means the legal entity or<\/p>\n\n\n\n

individual that is applying for or that has opened an Account to use the Services. You may use<\/p>\n\n\n\n

the Services only if you can form a binding agreement with Manyworlds. If you are opening the<\/p>\n\n\n\n

Account on behalf of a company, you represent and warrant that you are an authorizedrepresentative of the company with the authority to bind the company to this Agreement<\/p>\n\n\n\n

(“Administrator”) and that that company can form a binding contract with Manyworlds. PLEASE<\/p>\n\n\n\n

READ THIS AGREEMENT CAREFULLY TO ENSURE THAT YOU UNDERSTAND EACH<\/p>\n\n\n\n

PROVISION. THIS AGREEMENT CONTAINS A MANDATORY INDIVIDUAL ARBITRATION AND<\/p>\n\n\n\n

CLASS ACTION\/JURY TRIAL WAIVER PROVISION THAT REQUIRES THE USE OF<\/p>\n\n\n\n

ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES, RATHER THAN JURY<\/p>\n\n\n\n

TRIALS OR CLASS ACTIONS.<\/p>\n\n\n\n

—<\/p>\n\n\n\n

1. Use of the Services<\/strong><\/p>\n\n\n\n

**Eligibility.** This is a contract between you and Manyworlds. You must read and agree to<\/p>\n\n\n\n

these terms before using the Services. If you do not agree, you may not use the Services. You<\/p>\n\n\n\n

may only apply for an Account, and use the applicable Services under such Account, if you are<\/p>\n\n\n\n

at least 18 years of age (for personal accounts) or a legal entity duly formed and registered in a<\/p>\n\n\n\n

jurisdiction authorized by Manyworlds and\/or its Financial Service Providers. You may only use<\/p>\n\n\n\n

the Services in compliance with this Agreement and all applicable local, state, national, and<\/p>\n\n\n\n

international laws, rules, and regulations. Except with respect to access to personal accounts,<\/p>\n\n\n\n

any use of or access to the Services for consumer or non-commercial purposes by anyone<\/p>\n\n\n\n

who is not your employee, contractor, agent, or other individual permitted to use your Account<\/p>\n\n\n\n

on your behalf (“User”) is strictly prohibited and in violation of this Agreement.<\/p>\n\n\n\n

**Identity Verification.** To access the App and use the Services, each User must successfully<\/p>\n\n\n\n

complete Manyworlds’ identity verification process, which includes: (i) submission of a valid,<\/p>\n\n\n\n

current government-issued passport; and (ii) completion of a live video facial recognition check<\/p>\n\n\n\n

to confirm that the User’s identity matches the photograph in the submitted passport. By<\/p>\n\n\n\n

submitting to this process, you expressly authorize and consent to Manyworlds and its<\/p>\n\n\n\n

authorized third-party service providers collecting, processing, and retaining your identity and<\/p>\n\n\n\n

biometric data for the purpose of verifying your identity and conducting a world-check<\/p>\n\n\n\n

screening report against applicable sanctions, watchlist, politically exposed persons (PEP), and<\/p>\n\n\n\n

background databases.<\/p>\n\n\n\n

**Additional Eligibility Requirements.** In addition to the foregoing, you represent and warrant<\/p>\n\n\n\n

on a continuing basis that: (a) you are not, and are not acting on behalf of any person or entity<\/p>\n\n\n\n

that is, subject to sanctions administered or enforced by the United States (including OFAC),<\/p>\n\n\n\n

the European Union, or the United Kingdom, nor are you located in or a national of any country<\/p>\n\n\n\n

or territory subject to comprehensive U.S., EU, or UK sanctions; (b) you have no outstanding<\/p>\n\n\n\n

criminal convictions, no pending criminal charges, and no outstanding misdemeanor<\/p>\n\n\n\n

judgments that would, in Manyworlds’ sole discretion, render you ineligible to use the Services;<\/p>\n\n\n\n

and (c) all information submitted during identity verification is true, accurate, current, and<\/p>\n\n\n\n

complete. Manyworlds reserves the right to deny, suspend, or terminate any Account at any<\/p>\n\n\n\n

time if any eligibility requirement is not met or is subsequently found to be unsatisfied.<\/p>\n\n\n\n

**Creating an Account.** Your Account may give you access to certain Services, including<\/p>\n\n\n\n

Services provided through the Provider Accounts, and any other functionality that we may<\/p>\n\n\n\n

establish and maintain from time to time and in our sole discretion. You will need to provide<\/p>\n\n\n\n

certain company information and\/or personal information (collectively, “Customer Information”)<\/p>\n\n\n\n

when you create an Account. Customer Information may include individual consumer<\/p>\n\n\n\n

information (for personal accounts), or your registered business name and state of<\/p>\n\n\n\n

incorporation, the business address, ownership details, the nature of the business, and other<\/p>\n\n\n\n

business information we may request from time to time; the name, contact information, and<\/p>\n\n\n\n

date of birth of Administrators, Users or beneficial owners, and other personal information; anda corporate registration certificate, proof of address, personal identification, and any other<\/p>\n\n\n\n

documentary information used to verify business and personal information. We provide<\/p>\n\n\n\n

Customer Information to our Financial Service Providers and other third-party service providers<\/p>\n\n\n\n

to determine your eligibility for access to certain Services. We rely on the accuracy of the<\/p>\n\n\n\n

Customer Information you provide us when opening and maintaining your Account. We may<\/p>\n\n\n\n

deny your applications, suspend provision of such Services to you, or close your Account if<\/p>\n\n\n\n

Customer Information is out of date, incomplete, or inaccurate. By creating an Account, you<\/p>\n\n\n\n

represent that you are a legal owner of, and that you are authorized to provide us with, all<\/p>\n\n\n\n

Customer Information and other information necessary to facilitate your use of the Services.<\/p>\n\n\n\n

**Account Management and Security.** You must specify at least one Administrator to manage<\/p>\n\n\n\n

your Account when submitting your application. Administrators can add, remove, or manage<\/p>\n\n\n\n

additional Administrators and Users; request and manage Cards for Users; view transactions<\/p>\n\n\n\n

and run reports; provide or update Customer Information; connect third-party services, and<\/p>\n\n\n\n

other accounts to your Account; and perform other tasks to manage your Account. You are<\/p>\n\n\n\n

responsible for any actions or failure to act on the part of Administrators or Users, or those<\/p>\n\n\n\n

using their credentials to access your Account. You are solely responsible for the activity that<\/p>\n\n\n\n

occurs on your Account, and you must keep your Account secure. We encourage you to use<\/p>\n\n\n\n

“strong” passwords (for recommendations on what constitutes a strong password, check the<\/p>\n\n\n\n

National Institute of Standards and Technology (NIST)) with your Account. MFA is required; we<\/p>\n\n\n\n

encourage you to use strong second factors such as security keys. You must notify<\/p>\n\n\n\n

Manyworlds immediately of any breach of security or unauthorized use of your Account.<\/p>\n\n\n\n

Manyworlds will not be liable for any losses caused by any unauthorized use of your Account.<\/p>\n\n\n\n

We may suspend access to your Account if we believe that your Account has been<\/p>\n\n\n\n

compromised.<\/p>\n\n\n\n

**Prohibitions.** You agree that you will not: (a) use the Account or the Services for any purpose<\/p>\n\n\n\n

that is unlawful or prohibited by this Agreement; (b) use the Account or the Services for any<\/p>\n\n\n\n

personal, family, household, or other non-commercial purposes (with the exception for<\/p>\n\n\n\n

personal account(s)); (c) use the Account or the Services for the benefit, either directly or<\/p>\n\n\n\n

indirectly, of an individual, organization, or country identified on the United States Office of<\/p>\n\n\n\n

Foreign Asset Control’s Specially Designated Nationals List or any other U.S. Government list<\/p>\n\n\n\n

of prohibited or restricted parties; (d) use the Account or the Services for any third parties; (e)<\/p>\n\n\n\n

use the Account or the Services to collect any market research for a competing business; (f)<\/p>\n\n\n\n

impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with<\/p>\n\n\n\n

a person or entity; (g) interfere with or attempt to interrupt the proper operation of the Services<\/p>\n\n\n\n

through the use of any virus, device, information collection or transmission mechanism,<\/p>\n\n\n\n

software or routine, or access or attempt to gain access to any Manyworlds IP, data, files, or<\/p>\n\n\n\n

passwords related to the Services through hacking, password or data mining, or any other<\/p>\n\n\n\n

means; (h) decompile, reverse engineer, or disassemble any software or other products or<\/p>\n\n\n\n

processes accessible through the Services; (i) circumvent, remove, alter, deactivate, degrade,<\/p>\n\n\n\n

or thwart any of the Content protections in the Services; (j) use any robot, spider, scraper, or<\/p>\n\n\n\n

other automated means to access the Services for any purpose without our express, written<\/p>\n\n\n\n

permission; provided, however, we grant the operators of public search engines permission to<\/p>\n\n\n\n

use spiders to copy materials from the public portions of the Services for the sole purpose of,<\/p>\n\n\n\n

and solely to the extent necessary for, creating publicly-available searchable indices of the<\/p>\n\n\n\n

materials, but not caches or archives of such materials; (k) take any action that imposes or may<\/p>\n\n\n\n

impose (in our sole discretion) an unreasonable or disproportionately large load on our<\/p>\n\n\n\n

technical infrastructure; (l) use the Account or the Services for any inappropriate, improper,<\/p>\n\n\n\n

discriminatory, illegal, or otherwise harmful purpose or to violate, or encourage the violation of,<\/p>\n\n\n\n

the rights of others, each as reasonably determined by Manyworlds; and (m) use the Account<\/p>\n\n\n\n

or the Services to engage in abusive, harassing, threatening, offensive, or otherwise improper<\/p>\n\n\n\n

conduct towards Manyworlds or its employees, agents, service providers, partners, or other<\/p>\n\n\n\n

customers.**Beta Services.** Manyworlds may make certain Services, features, or functionalities available<\/p>\n\n\n\n

to you, which we may designate as a beta, pilot, limited release, evaluation, or by a similar<\/p>\n\n\n\n

description, to be used in conjunction with or separate from the Services (“Beta Services”). You<\/p>\n\n\n\n

may accept or decline any such Beta Services at your sole discretion. You acknowledge that<\/p>\n\n\n\n

Beta Services may be unstable, feature-incomplete, contain bugs, and subject to erroneous<\/p>\n\n\n\n

output and operation. Manyworlds may describe limitations that exist within a Beta Service;<\/p>\n\n\n\n

however, your reliance on the accuracy or completeness of these descriptions is at your own<\/p>\n\n\n\n

risk. You should not use Beta Services for any critical or important functions without taking<\/p>\n\n\n\n

appropriate precautions to prevent loss or damage resulting from such use.<\/p>\n\n\n\n

2. Our Proprietary Rights<\/strong><\/p>\n\n\n\n

Subject to the terms and conditions of this Agreement, you are hereby granted a non-<\/p>\n\n\n\n

exclusive, limited, non-transferable, freely revocable license to use the Services as permitted<\/p>\n\n\n\n

by the features of the Services. Manyworlds reserves all rights not expressly granted herein in<\/p>\n\n\n\n

the Services and the Manyworlds IP (as defined below). Manyworlds may terminate this license<\/p>\n\n\n\n

at any time for any reason or no reason. The Services and all materials therein or transferred<\/p>\n\n\n\n

thereby, including, without limitation, software, images, text, graphics, illustrations, logos,<\/p>\n\n\n\n

patents, trademarks, service marks, copyrights, photographs, audio, videos, music, and User<\/p>\n\n\n\n

Content belonging to other Users (the “Manyworlds IP”), and all Intellectual Property Rights<\/p>\n\n\n\n

related thereto, are the exclusive property of Manyworlds and its licensors. Except as explicitly<\/p>\n\n\n\n

provided herein, nothing in this Agreement shall be deemed to create a license in or under any<\/p>\n\n\n\n

such Intellectual Property Rights, and you agree not to sell, license, rent, modify, distribute,<\/p>\n\n\n\n

copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit or create<\/p>\n\n\n\n

derivative works from any Manyworlds IP. Use of the Manyworlds IP for any purpose not<\/p>\n\n\n\n

expressly permitted by this Agreement is strictly prohibited.<\/p>\n\n\n\n

You may choose to, or we may invite you to, submit comments or ideas about the Services,<\/p>\n\n\n\n

including without limitation about how to improve the Services or our products (“Feedback”).<\/p>\n\n\n\n

By submitting any Feedback, you agree that your disclosure is gratuitous, unsolicited and<\/p>\n\n\n\n

without restriction, and will not place Manyworlds under any fiduciary or other obligation, and<\/p>\n\n\n\n

that we are free to use your Feedback without any additional compensation to you, or to<\/p>\n\n\n\n

disclose your Feedback on a non-confidential basis or otherwise to anyone. You further<\/p>\n\n\n\n

acknowledge that, by acceptance of your submission, Manyworlds does not waive any rights<\/p>\n\n\n\n

to use similar or related ideas previously known to Manyworlds, or developed by its<\/p>\n\n\n\n

employees, or obtained from sources other than you.<\/p>\n\n\n\n

For the purposes of this Agreement, “Intellectual Property Rights” means all patent rights,<\/p>\n\n\n\n

copyright rights, mask work rights, moral rights, rights of publicity, trademark, trade dress and<\/p>\n\n\n\n

service mark rights, goodwill, trade secret rights and other intellectual property rights as may<\/p>\n\n\n\n

now exist or hereafter come into existence, and all applications therefore and registrations,<\/p>\n\n\n\n

renewals and extensions thereof, under the laws of any state, country, territory or other<\/p>\n\n\n\n

jurisdiction.<\/p>\n\n\n\n

3. App Data and Privacy<\/strong><\/p>\n\n\n\n

As between you and Manyworlds, you will retain all rights, title, and interests in and to your<\/p>\n\n\n\n

Customer Information, personal information, and any other information submitted by youthrough the Services (collectively, “User Content”). By using the Services, you grant<\/p>\n\n\n\n

Manyworlds a non-exclusive, royalty-free, license during the Term to collect, use, disclose,<\/p>\n\n\n\n

combine, transmit, format, and display User Content for the purposes provided in the Privacy<\/p>\n\n\n\n

Policy. Additionally, you grant Manyworlds the right to aggregate data we collect from your use<\/p>\n\n\n\n

of the Services (“App Data”) and use such App Data for our business purposes. You also<\/p>\n\n\n\n

acknowledge and agree that by using the Services, User Content and App Data may be<\/p>\n\n\n\n

collected, used, transferred and processed for the purposes and as described in the Privacy<\/p>\n\n\n\n

Policy. Manyworlds uses commercially reasonable physical, managerial, and technical<\/p>\n\n\n\n

safeguards to preserve the integrity and security of your Customer Information and implement<\/p>\n\n\n\n

your privacy settings. However, we cannot guarantee that unauthorized third parties will never<\/p>\n\n\n\n

be able to defeat our security measures or use User Content for improper purposes. You<\/p>\n\n\n\n

acknowledge that you provide User Content at your own risk. Your use of the Provider<\/p>\n\n\n\n

Accounts is subject to the privacy policies and terms of our respective Financial Service<\/p>\n\n\n\n

Providers (Banking Providers, Brokerage Providers, and Advisory Providers).<\/p>\n\n\n\n

4. Third-Party Links and Information<\/strong><\/p>\n\n\n\n

The Services may contain links to third-party materials that are not owned or controlled by<\/p>\n\n\n\n

Manyworlds. Manyworlds does not endorse or assume any responsibility for any such third-<\/p>\n\n\n\n

party services, information, materials, products, or Services. If you access a third-party<\/p>\n\n\n\n

application or service from the Services, you do so at your own risk, and you understand that<\/p>\n\n\n\n

this Agreement and Manyworlds’s Privacy Policy do not apply to your use of such third-party<\/p>\n\n\n\n

services. You expressly relieve Manyworlds from any and all liability arising from your use of<\/p>\n\n\n\n

any third-party applications, services, or content. Additionally, your dealings with or<\/p>\n\n\n\n

participation in promotions of advertisers found on the Services, including payment and<\/p>\n\n\n\n

delivery of goods, and any other terms (such as warranties) are solely between you and such<\/p>\n\n\n\n

advertisers. You agree that Manyworlds shall not be responsible for any loss or damage of any<\/p>\n\n\n\n

sort relating to your dealings with such advertisers.<\/p>\n\n\n\n

5. Representations and Warranties; Indemnification<\/strong><\/p>\n\n\n\n

You hereby represent, warrant, and covenant that:<\/p>\n\n\n\n

– You own or have the necessary licenses, rights, consents, and permissions to all trademark,<\/p>\n\n\n\n

trade secret, copyright, or other proprietary, privacy, and publicity rights in and to your User<\/p>\n\n\n\n

Content and any other works that you incorporate into your User Content, and all the rights<\/p>\n\n\n\n

necessary to grant the licenses and permissions you grant hereunder; and<\/p>\n\n\n\n

– Use of User Content in the manners contemplated in this Agreement shall not violate or<\/p>\n\n\n\n

misappropriate the intellectual property, privacy, publicity, contractual, or other rights of any<\/p>\n\n\n\n

third party.<\/p>\n\n\n\n

You agree to defend, indemnify and hold harmless Manyworlds and its subsidiaries, agents,<\/p>\n\n\n\n

licensors, managers, and other affiliated companies, and their employees, contractors, agents,<\/p>\n\n\n\n

officers and directors, our Financial Service Providers (including Banking Providers, Brokerage<\/p>\n\n\n\n

Providers, and Advisory Providers), and our third-party service providers, from and against any<\/p>\n\n\n\n

and all third-party claims, damages, obligations, losses, liabilities, costs or debt, and expenses<\/p>\n\n\n\n

(including but not limited to attorney’s fees) arising out of, related to, or resulting from: (a) your<\/p>\n\n\n\n

use of and access to the Services, including any data or content transmitted or received by<\/p>\n\n\n\n

you; (b) your violation of any term of this Agreement, including without limitation your breach ofany of the representations and warranties above; (c) your violation of any third-party right,<\/p>\n\n\n\n

including without limitation any right of privacy or Intellectual Property Rights; (d) your violation<\/p>\n\n\n\n

of any applicable law, rule or regulation; (e) your intentional misconduct; or (f) any other party’s<\/p>\n\n\n\n

access and use of the Services with your unique username, password or other appropriate<\/p>\n\n\n\n

security mechanism.<\/p>\n\n\n\n

6. No Warranty<\/strong><\/p>\n\n\n\n

THE SERVICES, INCLUDING BETA SERVICES, ARE PROVIDED ON AN “AS IS” AND “AS<\/p>\n\n\n\n

AVAILABLE” BASIS. USE OF THE SERVICES IS AT YOUR OWN RISK. TO THE MAXIMUM<\/p>\n\n\n\n

EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED WITHOUT<\/p>\n\n\n\n

WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT<\/p>\n\n\n\n

LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR<\/p>\n\n\n\n

PURPOSE, OR NON-INFRINGEMENT. NO ADVICE OR INFORMATION, WHETHER ORAL OR<\/p>\n\n\n\n

WRITTEN, OBTAINED BY YOU FROM MANYWORLDS OR THROUGH THE SERVICES WILL<\/p>\n\n\n\n

WITHOUT INTERRUPTION, DELAY, DOWNTIME, MALFUNCTION, OR ERROR AT ANY TIME;<\/p>\n\n\n\n

(II) ACCESS TO PROVIDER ACCOUNTS \u2014 INCLUDING BANKING, SECURITIES<\/p>\n\n\n\n

BROKERAGE, OR INVESTMENT ADVISORY SERVICES OFFERED BY FINANCIAL SERVICE<\/p>\n\n\n\n

PROVIDERS \u2014 WILL BE CONTINUOUSLY OR UNINTERRUPTEDLY AVAILABLE; (III) ANY<\/p>\n\n\n\n

MALFUNCTION, SOFTWARE BUG, TECHNICAL ERROR, LATENCY, OR PERIOD OF<\/p>\n\n\n\n

DOWNTIME WILL NOT ADVERSELY AFFECT YOUR ABILITY TO EXECUTE FINANCIAL<\/p>\n\n\n\n

TRANSACTIONS, SUBMIT ORDERS, OR ACT UPON ACCOUNT INSTRUCTIONS IN A TIMELY<\/p>\n\n\n\n

MANNER; OR (IV) THE TECHNOLOGY INFRASTRUCTURE WILL PERFORM IN A MANNER<\/p>\n\n\n\n

NO GUARANTEE WHATSOEVER THAT THE APP WILL BE AVAILABLE OR FUNCTIONING AT<\/p>\n\n\n\n

THE PRECISE TIME NEEDED TO EXECUTE ANY TRANSACTION, ORDER, OR INSTRUCTION,<\/p>\n\n\n\n

OR TO TAKE ADVANTAGE OF ANY MARKET OPPORTUNITY OR PRICE LEVEL. ANY LOSS OF<\/p>\n\n\n\n

UNAUTHORIZED ACCESS, DISCLOSURE, ALTERATION, OR DESTRUCTION.<\/p>\n\n\n\n

NOTWITHSTANDING THE FOREGOING AND DESPITE MANYWORLDS’ BEST EFFORTS, NO<\/p>\n\n\n\n

UNAUTHORIZED INTRUSION, OR DATA BREACH. MANYWORLDS DOES NOT WARRANT<\/p>\n\n\n\n

THAT USER DATA, CUSTOMER INFORMATION, OR PROVIDER ACCOUNT INFORMATION<\/p>\n\n\n\n

WILL BE FREE FROM UNAUTHORIZED ACCESS OR THAT ANY SECURITY BREACH WILL BE<\/p>\n\n\n\n

PREVENTED IN ALL CIRCUMSTANCES. BY USING THE SERVICES, USER EXPRESSLY<\/p>\n\n\n\n

DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE<\/p>\n\n\n\n

LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE<\/p>\n\n\n\n

SERVICES. UNDER NO CIRCUMSTANCES WILL MANYWORLDS BE RESPONSIBLE FOR<\/p>\n\n\n\n

ANY DAMAGE, LOSS OR INJURY RESULTING FROM HACKING, TAMPERING OR OTHER<\/p>\n\n\n\n

UNAUTHORIZED ACCESS OR USE OF THE SERVICES OR YOUR ACCOUNT OR THE<\/p>\n\n\n\n

INFORMATION CONTAINED THEREIN.<\/p>\n\n\n\n

WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, MANYWORLDS SHALL NOT<\/p>\n\n\n\n

BE LIABLE TO USER OR ANY THIRD PARTY FOR ANY FINANCIAL LOSS, LOST INVESTMENT<\/p>\n\n\n\n

OPPORTUNITY, MISSED TRADE OR ORDER EXECUTION, LOSS OF ANTICIPATED PROFITS<\/p>\n\n\n\n

OR RETURNS, ADVERSE PRICE MOVEMENT, PORTFOLIO DEPRECIATION, OR ANY OTHER<\/p>\n\n\n\n

DIRECT, INDIRECT, OR CONSEQUENTIAL ECONOMIC LOSS OR DAMAGE OF ANY KIND<\/p>\n\n\n\n

ARISING OUT OF OR RELATED TO: (I) ANY PERIOD OF DOWNTIME, UNAVAILABILITY,<\/p>\n\n\n\n

INTERRUPTION, DELAY, SLOWDOWN, SUSPENSION, OR MALFUNCTION OF THE APP OR<\/p>\n\n\n\n

ANY TECHNOLOGY INFRASTRUCTURE USED TO FACILITATE ACCESS TO FINANCIAL<\/p>\n\n\n\n

SERVICE PROVIDER ACCOUNTS; (II) ANY SOFTWARE BUGS, CODING ERRORS, DEFECTS,<\/p>\n\n\n\n

DATA CORRUPTION, OR SYSTEM FAILURES THAT PREVENT, DELAY, OR INCORRECTLY<\/p>\n\n\n\n

PROCESS THE EXECUTION OF INSTRUCTIONS, TRANSACTIONS, OR ORDERS ON OR<\/p>\n\n\n\n

THROUGH FINANCIAL SERVICE PROVIDER ACCOUNTS; (III) ANY FAILURE OR DELAY BY A<\/p>\n\n\n\n

FINANCIAL SERVICE PROVIDER TO PROCESS, EXECUTE, CONFIRM, OR SETTLE ANY<\/p>\n\n\n\n

INSTRUCTION, ORDER, OR TRANSACTION SUBMITTED THROUGH THE APP, REGARDLESS<\/p>\n\n\n\n

OF CAUSE; (IV) ANY MARKET CONDITION, PRICE MOVEMENT, LIQUIDITY EVENT, OR<\/p>\n\n\n\n

OTHER FINANCIAL CIRCUMSTANCE THAT OCCURS DURING ANY PERIOD IN WHICH THE<\/p>\n\n\n\n

APP IS UNAVAILABLE, DEGRADED, OR EXPERIENCING TECHNICAL DIFFICULTIES; OR (V)<\/p>\n\n\n\n

ANY DECISION MADE OR NOT MADE BY USER BASED ON INFORMATION, DATA, OR<\/p>\n\n\n\n

FUNCTIONALITY PROVIDED THROUGH THE APP. USER ACKNOWLEDGES THAT<\/p>\n\n\n\n

MANYWORLDS PROVIDES TECHNOLOGY ACCESS SERVICES ONLY, IS NOT A FINANCIAL<\/p>\n\n\n\n

SERVICE PROVIDER, AND IS NOT RESPONSIBLE FOR THE PERFORMANCE, EXECUTION<\/p>\n\n\n\n

QUALITY, LIQUIDITY, AVAILABILITY, OR OUTCOME OF ANY FINANCIAL SERVICE, SECURITY,INVESTMENT PRODUCT, OR FINANCIAL TRANSACTION ACCESSIBLE THROUGH THE APP.<\/p>\n\n\n\n

USER ASSUMES FULL RESPONSIBILITY FOR ALL FINANCIAL DECISIONS AND<\/p>\n\n\n\n

ASSOCIATED RISKS IN CONNECTION WITH USE OF THE SERVICES.<\/p>\n\n\n\n

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, USER AGREES TO HOLD<\/p>\n\n\n\n

MANYWORLDS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND<\/p>\n\n\n\n

LICENSORS HARMLESS FROM AND AGAINST ANY AND ALL CLAIMS, LOSSES,<\/p>\n\n\n\n

LIABILITIES, DAMAGES, COSTS, FINES, OR EXPENSES (INCLUDING REASONABLE<\/p>\n\n\n\n

ATTORNEYS’ FEES) ARISING OUT OF OR RELATED TO ANY UNAUTHORIZED ACCESS TO,<\/p>\n\n\n\n

ACQUISITION OF, DISCLOSURE OF, ALTERATION OF, OR DESTRUCTION OF USER DATA,<\/p>\n\n\n\n

CUSTOMER INFORMATION, OR PROVIDER ACCOUNT INFORMATION, INCLUDING BUT<\/p>\n\n\n\n

NOT LIMITED TO ANY DATA BREACH, CYBERATTACK, RANSOMWARE EVENT, OR OTHER<\/p>\n\n\n\n

SECURITY INCIDENT AFFECTING THE APP OR ITS UNDERLYING INFRASTRUCTURE,<\/p>\n\n\n\n

WHETHER CAUSED BY THIRD-PARTY ACTORS, FORCE MAJEURE, OR OTHERWISE. THIS<\/p>\n\n\n\n

HOLD-HARMLESS PROVISION APPLIES NOTWITHSTANDING ANY FAILURE OF ESSENTIAL<\/p>\n\n\n\n

PURPOSE OF ANY LIMITED REMEDY AND REGARDLESS OF THE FORM OF ACTION.<\/p>\n\n\n\n

MANYWORLDS’ OBLIGATION HEREUNDER IS LIMITED TO EMPLOYING COMMERCIALLY<\/p>\n\n\n\n

REASONABLE SECURITY PRACTICES; IT DOES NOT EXTEND TO GUARANTEEING<\/p>\n\n\n\n

ABSOLUTE SECURITY OR PREVENTING ALL POSSIBLE SECURITY INCIDENTS.<\/p>\n\n\n\n

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MANYWORLDS ASSUMES<\/p>\n\n\n\n

NO LIABILITY OR RESPONSIBILITY FOR ANY (I) ERRORS, MISTAKES, OR INACCURACIES<\/p>\n\n\n\n

OF CONTENT; (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE<\/p>\n\n\n\n

WHATSOEVER, RESULTING FROM YOUR ACCESS TO OR USE OF OUR SERVICES; (III) ANY<\/p>\n\n\n\n

UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND\/OR ANY AND ALL<\/p>\n\n\n\n

PERSONAL INFORMATION STORED THEREIN; (IV) ANY INTERRUPTION OR CESSATION OF<\/p>\n\n\n\n

TRANSMISSION TO OR FROM THE SERVICES; (V) ANY BUGS, VIRUSES, TROJAN HORSES,<\/p>\n\n\n\n

OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH OUR SERVICES BY ANY<\/p>\n\n\n\n

THIRD PARTY; (VI) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR<\/p>\n\n\n\n

DAMAGE INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, EMAILED,<\/p>\n\n\n\n

TRANSMITTED, OR OTHERWISE MADE AVAILABLE THROUGH THE SERVICES; AND\/OR (VII)<\/p>\n\n\n\n

USER CONTENT OR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY<\/p>\n\n\n\n

THIRD PARTY. IN NO EVENT SHALL MANYWORLDS, ITS AFFILIATES, AGENTS, DIRECTORS,<\/p>\n\n\n\n

EMPLOYEES, SUPPLIERS, OR LICENSORS BE LIABLE TO YOU FOR ANY CLAIMS,<\/p>\n\n\n\n

PROCEEDINGS, LIABILITIES, OBLIGATIONS, DAMAGES, LOSSES OR COSTS IN AN<\/p>\n\n\n\n

AMOUNT EXCEEDING $40.00 USD.<\/p>\n\n\n\n

THIS LIMITATION OF LIABILITY SECTION APPLIES WHETHER THE ALLEGED LIABILITY IS<\/p>\n\n\n\n

BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS,<\/p>\n\n\n\n

EVEN IF MANYWORLDS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. THE<\/p>\n\n\n\n

FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT<\/p>\n\n\n\n

PERMITTED BY LAW IN THE APPLICABLE JURISDICTION.<\/p>\n\n\n\n

8. Term and Termination<\/strong><\/p>\n\n\n\n

This Agreement is effective when you start using our Services and continues until terminated<\/p>\n\n\n\n

by either you or us, or in accordance with the Provider Account agreements or as otherwise set<\/p>\n\n\n\n

forth in this Agreement (the “Term”). You may terminate this Agreement by paying all amounts<\/p>\n\n\n\n

you owe and providing notice to us; except that you will still be responsible for any charges,<\/p>\n\n\n\n

fees, fines, and other losses caused by your action or inaction prior to terminating this<\/p>\n\n\n\n

Agreement. We may terminate this Agreement, or suspend your Account, in Manyworlds’sdiscretion or as provided in the Provider Account agreements. We will provide notice of<\/p>\n\n\n\n

termination or suspension to the extent permitted by applicable law.<\/p>\n\n\n\n

9. Changes to this Agreement<\/strong><\/p>\n\n\n\n

This Agreement is effective as of the Last Modified date stated at the top. We may change this<\/p>\n\n\n\n

Agreement from time to time. Any such changes will be posted within the App. By accessing<\/p>\n\n\n\n

the Services after we make any such changes to this Agreement, you are deemed to have<\/p>\n\n\n\n

accepted such changes. Please refer back to this Agreement on a regular basis.<\/p>\n\n\n\n

10. Governing Law, Arbitration, and Class Action\/Jury Trial Waiver<\/strong><\/p>\n\n\n\n

**Governing Law.** This Agreement shall be governed by the laws of the Republic of Armenia,<\/p>\n\n\n\n

without respect to its conflict of laws principles. You agree to submit to the personal<\/p>\n\n\n\n

jurisdiction of the competent courts of the Republic of Armenia for any actions for which we<\/p>\n\n\n\n

retain the right to seek injunctive or other equitable relief in a court of competent jurisdiction to<\/p>\n\n\n\n

prevent the actual or threatened infringement, misappropriation or violation of our copyrights,<\/p>\n\n\n\n

trademarks, trade secrets, patents, or other intellectual property or proprietary rights, as set<\/p>\n\n\n\n

forth in the Arbitration provision below, including any provisional relief required to prevent<\/p>\n\n\n\n

irreparable harm. Subject to Section 10B, you agree that the competent courts of the Republic<\/p>\n\n\n\n

of Armenia are the proper forum for any appeals of an arbitration award or for trial court<\/p>\n\n\n\n

proceedings in the event that the Arbitration provision below is found to be unenforceable.<\/p>\n\n\n\n

**Arbitration.** READ THIS SECTION CAREFULLY BECAUSE IT REQUIRES THE PARTIES TO<\/p>\n\n\n\n

ARBITRATE THEIR DISPUTES AND LIMITS THE MANNER IN WHICH YOU CAN SEEK RELIEF<\/p>\n\n\n\n

FROM MANYWORLDS. For any claim, dispute, or controversy with Manyworlds (a “Claim”),<\/p>\n\n\n\n

you agree to first contact us at legal@manyworlds.com and attempt to resolve the dispute with<\/p>\n\n\n\n

us informally. In the unlikely event that Manyworlds has not been able to resolve a dispute it<\/p>\n\n\n\n

has with you after sixty (60) days, such dispute will be finally and exclusively resolved by<\/p>\n\n\n\n

binding arbitration in accordance with the laws of the Republic of Armenia governing<\/p>\n\n\n\n

arbitration. Any election to arbitrate, at any time, shall be final and binding on the other party.<\/p>\n\n\n\n

NEITHER PARTY SHALL HAVE THE RIGHT TO LITIGATE SUCH CLAIM IN COURT OR TO<\/p>\n\n\n\n

HAVE A JURY TRIAL, EXCEPT EITHER PARTY MAY BRING ITS CLAIM IN ITS LOCAL SMALL<\/p>\n\n\n\n

CLAIMS COURT, IF PERMITTED BY THAT SMALL CLAIMS COURT RULES AND IF WITHIN<\/p>\n\n\n\n

SUCH COURT’S JURISDICTION. ARBITRATION IS DIFFERENT FROM COURT, AND<\/p>\n\n\n\n

DISCOVERY AND APPEAL RIGHTS MAY ALSO BE LIMITED IN ARBITRATION. All disputes will<\/p>\n\n\n\n

be resolved before a neutral arbitrator selected jointly by the parties, whose decision will be<\/p>\n\n\n\n

final, except for a limited right of appeal under applicable Armenian law. The arbitration shall be<\/p>\n\n\n\n

commenced and conducted by a mutually agreed neutral arbitration institution in accordance<\/p>\n\n\n\n

with its then-current arbitration rules and procedures, or, where appropriate, pursuant to such<\/p>\n\n\n\n

institution’s Streamlined Arbitration Rules and Procedures. Each party will be responsible for<\/p>\n\n\n\n

paying any arbitration filing, administrative, and arbitrator fees in accordance with the<\/p>\n\n\n\n

applicable arbitration rules. Judgment on the arbitrator’s award may be entered in any court<\/p>\n\n\n\n

having jurisdiction. This clause shall not preclude parties from seeking provisional remedies in<\/p>\n\n\n\n

aid of arbitration from a court of appropriate jurisdiction. The arbitration may be conducted in<\/p>\n\n\n\n

person, through the submission of documents, by phone, or online. If conducted in person, the<\/p>\n\n\n\n

arbitration shall take place in the Republic of Armenia. The parties may litigate in court to<\/p>\n\n\n\n

compel arbitration, to stay a proceeding pending arbitration, or to confirm, modify, vacate, or<\/p>\n\n\n\n

enter judgment on the award entered by the arbitrator. The parties shall cooperate in good faithin the voluntary and informal exchange of all non-privileged documents and other information<\/p>\n\n\n\n

(including electronically stored information) relevant to the Claim immediately after<\/p>\n\n\n\n

commencement of the arbitration. Nothing in this Section shall be deemed as preventing either<\/p>\n\n\n\n

party from seeking injunctive or other equitable relief from the courts as necessary to prevent<\/p>\n\n\n\n

the actual or threatened infringement, misappropriation, or violation of our data security,<\/p>\n\n\n\n

Intellectual Property Rights or other proprietary rights. Proceedings and information related to<\/p>\n\n\n\n

them will be maintained as confidential, including the nature and details of the Claim, evidence<\/p>\n\n\n\n

produced, testimony given, and the outcome of the Claim, unless such information was already<\/p>\n\n\n\n

in the public domain or was independently obtained. You and Manyworlds, and all witnesses,<\/p>\n\n\n\n

advisors, and arbitrators will only share such information as necessary to prepare for or<\/p>\n\n\n\n

conduct arbitration or other legal proceeding, or enforcement of the outcome, unless additional<\/p>\n\n\n\n

disclosure is required by law.<\/p>\n\n\n\n

**Class Action Waiver.** You agree that any arbitration or proceeding shall be limited to the<\/p>\n\n\n\n

Claims between us and you individually. To the full extent permitted by law, (i) no arbitration or<\/p>\n\n\n\n

proceeding shall be joined with any other; (ii) there is no right or authority for any Claim to be<\/p>\n\n\n\n

arbitrated or resolved on a class action-basis or to utilize class action procedures; and (iii) there<\/p>\n\n\n\n

is no right or authority for any Claim to be brought in a purported representative capacity on<\/p>\n\n\n\n

behalf of the general public or any other persons. YOU AGREE THAT YOU MAY BRING<\/p>\n\n\n\n

CLAIMS AGAINST US ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR<\/p>\n\n\n\n

CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.<\/p>\n\n\n\n

11. Downloading the App<\/strong><\/p>\n\n\n\n

We make the App available through the Google Play Store or Apple App Store. The following<\/p>\n\n\n\n

terms apply to the App when accessed through or downloaded from the Apple App Store<\/p>\n\n\n\n

where the App may now or in the future be made available. You acknowledge and agree that:<\/p>\n\n\n\n

– These Terms of Use are between you and Manyworlds, and not with Apple, and Manyworlds<\/p>\n\n\n\n

(not Apple) is solely responsible for the App. Apple has no obligation to furnish any<\/p>\n\n\n\n

maintenance and support services with respect to the App.<\/p>\n\n\n\n

– In the event of any failure of the App to conform to any applicable warranty, you may notify<\/p>\n\n\n\n

Apple, and Apple will refund the purchase price for the App to you (if applicable) and, to the<\/p>\n\n\n\n

maximum extent permitted by applicable law, Apple will have no other warranty obligation<\/p>\n\n\n\n

whatsoever with respect to the App. Any other claims, losses, liabilities, damages, costs or<\/p>\n\n\n\n

expenses attributable to any failure to conform to any warranty will be the sole responsibility of<\/p>\n\n\n\n

Manyworlds.<\/p>\n\n\n\n

– Apple is not responsible for addressing any claims you have or any claims of any third party<\/p>\n\n\n\n

relating to the App or your possession and use of the App, including, but not limited to: (i)<\/p>\n\n\n\n

product liability claims; (ii) any claim that the App fails to conform to any applicable legal or<\/p>\n\n\n\n

regulatory requirement; and (iii) claims arising under consumer protection or similar legislation.<\/p>\n\n\n\n

– In the event of any third party claim that the App or your possession and use of that App<\/p>\n\n\n\n

infringes that third party’s intellectual property rights, Manyworlds will be solely responsible for<\/p>\n\n\n\n

the investigation, defense, settlement, and discharge of any such intellectual property<\/p>\n\n\n\n

infringement claim to the extent required by this Agreement.<\/p>\n\n\n\n

– Apple and its affiliates are third-party beneficiaries of this Agreement as related to your<\/p>\n\n\n\n

license to the App, and that, upon your acceptance of this Agreement, Apple will have the right<\/p>\n\n\n\n

(and will be deemed to have accepted the right) to enforce this Agreement as related to your<\/p>\n\n\n\n

license of the App against you as a third-party beneficiary thereof.<\/p>\n\n\n\n

– You represent and warrant that (i) you are not located in a country that is subject to a U.S.<\/p>\n\n\n\n

Government embargo, or that has been designated by the U.S. Government as a terrorist-supporting country; (ii) you are not listed on any U.S. Government list of prohibited or restricted<\/p>\n\n\n\n

parties; (iii) you are not an individual, or associated with an entity, designated under the UK’s<\/p>\n\n\n\n

Terrorist Asset-Freezing etc. Act 2010 (TAFA 2010); and (iv) you are not otherwise subject to or<\/p>\n\n\n\n

affected in any way by any national security or terrorism-related rules whether applicable to<\/p>\n\n\n\n

you personally or to your location or other circumstances.<\/p>\n\n\n\n

– You must also comply with all applicable third-party terms of service when using the App.<\/p>\n\n\n\n

12. General<\/strong><\/p>\n\n\n\n

**Assignment.** This Agreement, and any rights and licenses granted hereunder, may not be<\/p>\n\n\n\n

transferred or assigned by you, but may be assigned by Manyworlds without restriction. Any<\/p>\n\n\n\n

attempted transfer or assignment in violation hereof shall be null and void.<\/p>\n\n\n\n

**Notification Procedures and Changes to the Agreement.** You consent to us providing<\/p>\n\n\n\n

notices to you under this Agreement electronically. We may provide notices to you<\/p>\n\n\n\n

electronically through your Account, or via email, text, or SMS to the email address or phone<\/p>\n\n\n\n

numbers provided to us by Administrators and Users. If you sign up to receive certain<\/p>\n\n\n\n

Manyworlds notifications or information via text or SMS, you may incur additional charges from<\/p>\n\n\n\n

your wireless provider for these notices. You agree that you are solely responsible for any such<\/p>\n\n\n\n

charges. You understand that you may not use the Services unless you consent to receive<\/p>\n\n\n\n

notices from us electronically. You may only withdraw consent to receive notices electronically<\/p>\n\n\n\n

by closing your Account. Notices may include alerts about the Services, your Account, and<\/p>\n\n\n\n

your Provider Accounts and may provide Administrators and Users the ability to respond with<\/p>\n\n\n\n

information about Provider Account transactions or your Account. Administrators and Users<\/p>\n\n\n\n

may disable certain notification preferences. Administrators and Users are required to maintain<\/p>\n\n\n\n

a regularly updated web browser, and computer and mobile device operating systems to<\/p>\n\n\n\n

receive notices correctly. Administrators and Users will be responsible for all costs imposed by<\/p>\n\n\n\n

internet or mobile service providers for sending or receiving notices electronically. Contact us<\/p>\n\n\n\n

immediately at help@manyworlds.com if you are having trouble receiving notices from us.<\/p>\n\n\n\n

**Entire Agreement\/Severability.** This Agreement, together with any amendments and any<\/p>\n\n\n\n

additional agreements you may enter into with Manyworlds in connection with the Services,<\/p>\n\n\n\n

shall constitute the entire agreement between you and Manyworlds concerning your Account<\/p>\n\n\n\n

and the Services. If any provision of this Agreement is deemed invalid by a court of competent<\/p>\n\n\n\n

jurisdiction, the invalidity of such provision shall not affect the validity of the remaining<\/p>\n\n\n\n

provisions of this Agreement, which shall remain in full force and effect, except that in the event<\/p>\n\n\n\n

of unenforceability of the universal Class Action\/Jury Trial Waiver, the entire arbitration<\/p>\n\n\n\n

agreement shall be unenforceable.<\/p>\n\n\n\n

**No Waiver.** No waiver of any term of this Agreement shall be deemed a further or continuing<\/p>\n\n\n\n

waiver of such term or any other term, and Manyworlds’s failure to assert any right or provision<\/p>\n\n\n\n

under this Agreement shall not constitute a waiver of such right or provision.<\/p>\n\n\n\n

**Legal Orders.** We may respond to and comply with any subpoenas, warrants, liens, or any<\/p>\n\n\n\n

other legal order we receive related to your use of the Services. We are not responsible to you<\/p>\n\n\n\n

for any losses you incur due to our response to such legal order. We may hold funds or provide<\/p>\n\n\n\n

information as required by the issuer of the legal order or take any other actions we believe are<\/p>\n\n\n\n

required of us under legal orders. Where permitted, we will provide you reasonable notice that<\/p>\n\n\n\n

we have received such an order.**Survival.** Sections 1C (Account Management), 2 (Our Proprietary Rights), 3 (App Data and<\/p>\n\n\n\n

Privacy), 5 (Representations and Warranties; Indemnification), 6 (No Warranties), 7 (Limitation of<\/p>\n\n\n\n

Liability), 8 (Term and Termination), 10 (Governing Law, Arbitration, and Class Action\/Jury Trial<\/p>\n\n\n\n

Waiver), and this Section 12 (General); and any other provisions of this Agreement giving rise to<\/p>\n\n\n\n

continued obligations of the parties will survive termination of this Agreement.<\/p>\n\n\n\n

**Electronic Documents and Signatures.** Manyworlds facilitates the completion and\/or<\/p>\n\n\n\n

execution of electronic documents between parties. Nothing in the Agreement may be<\/p>\n\n\n\n

construed to make Manyworlds a party to or liable for any electronic documents processed<\/p>\n\n\n\n

through the Services. Users consent to the use of electronic signatures and understand that<\/p>\n\n\n\n

this consent has the same legal effect as a physical signature. Manyworlds is not responsible<\/p>\n\n\n\n

for determining how long documents and other records are required to be retained or stored<\/p>\n\n\n\n

and is not responsible for or liable to produce any of Customer’s electronic documents or other<\/p>\n\n\n\n
